1. Overview
These Terms of Service govern your use of this website and the services described on it, provided by Quantum Strategy Partners ("Quantum," "we," or "us"). By using this site or submitting information, you agree to these terms.
2. Nature of Services
Quantum is a private finance and debt capital advisory firm. Depending on the transaction, Quantum may act as an advisor, broker, referral partner, or capital placement resource, working with a network of private capital providers, lenders, and funding partners. Quantum is not a bank.
3. No Guarantee of Approval
Submitting an application or information does not constitute an offer or approval of financing. Approval, rates, terms, and funding amounts are subject to underwriting review, applicant qualifications, and funding partner requirements.
4. Information You Provide
You agree that information you submit is accurate and that you are authorized to share it. You consent to be contacted regarding financing options. Do not submit information you are not authorized to disclose.
5. Limitation of Liability
The site and its content are provided "as is." To the fullest extent permitted by law, Quantum is not liable for any indirect or consequential damages arising from your use of this site or reliance on its content.
6. No Fiduciary Duty
Quantum Strategy Partners is acting solely as an intermediary to assist Applicant in exploring working capital financing options. Quantum Strategy Partners is not a fiduciary, agent, attorney-in-fact, partner, lender, financier, or joint venturer of Applicant. No fiduciary relationship of any kind is created by this Application, Quantum Strategy Partners’ services, referrals, or any financing that may result.
7. Arms-Length Business Relationship
The parties are sophisticated business parties engaged in an arms-length transaction. Quantum Strategy Partners owes no duty of loyalty, care, or good faith beyond the specific contractual obligations expressly set forth in any written agreement between the parties.
8. No Investment or Legal Advice
Quantum Strategy Partners is not providing investment advice, financial planning, legal advice, or tax advice. Any Applicant should rely solely on its own judgment and its own advisors, including legal, financial, and tax advisors, in evaluating any financing option.
9. No Extra-Contractual Representations
Quantum Strategy Partners does not make any promises or representations, oral or written, outside of any written agreement between the parties. An Application does not constitute a commitment to lend or to place financing. Any future financing option, pre-approval, or approval is subject to underwriting review, applicant qualifications, documentation, and direct confirmation from the applicable lender or funding partner.
10. No Control or Responsibility
Quantum Strategy Partners does not have control over any Applicant’s business, finances, or decision-making, and does not assume any responsibility for Applicant’s management or operations.
11. No Partnership or Joint Venture
Nothing in any application, nor Quantum Strategy Partners’ services, creates a partnership, joint venture, or other special relationship of trust and confidence between the parties.
12. Merger / Integration Clause
An Application and any subsequent written agreement constitute the entire agreement between the parties and supersede all prior oral or written statements, discussions, or understandings.
13. No Oral Waiver / Modification
All waivers or modifications must be in writing and signed by both parties.
14. Damages Waiver
To the extent permitted by law, any Applicant waives any right to claim special, consequential, punitive, or exemplary damages against Quantum Strategy Partners.
